Welcome to Quantrategy. By accessing or using our service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Quantrategy LC. ("Company", "we", "us", or "our"), a company registered in the Republic of Korea, regarding your use of the website, applications, and services (collectively, the "Service").

Quantrategy is a natural language backtesting platform that allows users to:

• Create investment strategy backtests using natural language descriptions
• Analyze historical performance of portfolio allocations
• View professional metrics including CAGR, Sharpe Ratio, Maximum Drawdown, and more
• Save and share strategies with the community

The Service utilizes artificial intelligence to parse natural language inputs and execute backtests on historical market data for curated, vetted securities. We may use multiple AI providers (including but not limited to Anthropic, OpenAI, Google, and Mistral) to process your requests.

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account and use the Service.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.

This license does not include the right to:

• Modify or copy the Service or its content
• Use the Service for any commercial purpose without our written consent
• Transfer, sublicense, or assign your rights under these Terms

You agree not to:

• Reverse engineer, decompile, or disassemble any part of the Service
• Copy, reproduce, or redistribute the Service or its content
• Use automated systems (bots, scrapers) to access the Service without permission
• Resell, lease, or sublicense access to the Service
• Circumvent any security measures or access controls
• Use the Service for any illegal purpose or market manipulation
• Share your account credentials with others
• Upload malicious code, viruses, or harmful content
• Interfere with the proper functioning of the Service

Your Content: You retain ownership of any strategies, portfolios, and content you create using the Service ("User Content").

License to Us: By using the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process your User Content solely for the purpose of providing and improving the Service.

Public Strategies: If you choose to make your strategies public, they may be viewed and used by other users of the Service.

AI Training: We do not use your personal data, strategies, or user-generated content to train AI models. Your data is only used to provide the Service to you.

Subscription Plans: The Service offers both free and paid subscription plans. Paid plans are billed on a monthly or annual basis.

Payment Processing: All payments are processed by Paddle.com, our Merchant of Record. Paddle handles billing, taxes, and payment processing on our behalf. By making a purchase, you also agree to Paddle's terms of service.

Credits: Some features may be available through a credit-based system. Credits do not expire but are non-transferable and non-refundable.

Refund Policy (14-Day Money-Back Guarantee):

You may request a full refund within 14 days of any subscription payment, including both initial purchases and renewals. No questions asked. To request a refund, contact us at support@quantrategy.com or through your Paddle account. Refunds are processed by Paddle, our Merchant of Record, and will be issued to your original payment method.

Cancellation: You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. You will continue to have access to paid features until the end of your billing cycle.

NOT FINANCIAL ADVICE: THE SERVICE IS PROVIDED FOR EDUCATIONAL AND INFORMATIONAL PURPOSES ONLY. NOTHING ON THIS SERVICE CONSTITUTES INVESTMENT ADVICE, FINANCIAL ADVICE, TRADING ADVICE, OR ANY OTHER SORT OF ADVICE. YOU SHOULD NOT TREAT ANY OF THE SERVICE'S CONTENT AS SUCH. WE DO NOT RECOMMEND THAT ANY SECURITIES SHOULD BE BOUGHT, SOLD, OR HELD BY YOU. PAST PERFORMANCE IS NOT INDICATIVE OF FUTURE RESULTS.

AI-GENERATED RESULTS: THE SERVICE USES ARTIFICIAL INTELLIGENCE TO PARSE STRATEGY DESCRIPTIONS AND GENERATE BACKTESTING RESULTS. AI OUTPUTS MAY CONTAIN ERRORS, INACCURACIES, OR UNEXPECTED INTERPRETATIONS. YOU ARE RESPONSIBLE FOR VERIFYING ALL RESULTS BEFORE MAKING ANY INVESTMENT DECISIONS. WE MAKE NO GUARANTEES ABOUT THE ACCURACY OF AI-GENERATED CONTENT.

HISTORICAL DATA LIMITATIONS: BACKTESTING RESULTS ARE BASED ON HISTORICAL DATA AND DO NOT GUARANTEE FUTURE PERFORMANCE. MARKET CONDITIONS, FEES, SLIPPAGE, AND OTHER FACTORS IN REAL TRADING MAY DIFFER SIGNIFICANTLY FROM BACKTESTED RESULTS.

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Quantrategy and its licensors. The Service is protected by copyright, trademark, and other laws.

Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that the Service will function uninterrupted, secure, or available at any particular time or location, or that any errors or defects will be corrected.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL QUANTRATEGY, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to use) the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content
• Investment decisions made based on the Service

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to delete your account.

All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

These Terms shall be governed and construed in accordance with the laws of the Republic of Korea, without regard to its conflict of law provisions.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Seoul, Republic of Korea.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
